Executive Committee Charter

The Executive Committee of the Board of Directors has and may exercise all the authority of the Board of Directors in the management of the business of the company in the interval between Board of Directors meetings, except to the extent limited by law or the company's articles of incorporation.

The Committee includes three or more Directors appointed by the Board, including the Chairman of the Board.

Meetings of the Committee may be held at any time and at any place upon call the request of the Chairman of the Board or the Secretary or any two members of the Committee.

All actions taken by the Committee will be reported to the next meeting of the Board of Directors.
